Restaurant Partner Terms
What you are charged, when you are paid, and what you are responsible for.
These are the operating terms referenced by the Vendor / Restaurant Partner Agreement. They explain, in plain terms, how money moves between Pick and Chop and your restaurant. Where these terms and the signed Agreement disagree, the Agreement controls.
1. What Pick and Chop charges you
Commission is a percentage of the Food Subtotal — the menu price of the items in an order, before delivery, fees, tips and tax.

Founders Circle is a promotional rate for our early restaurant cohort. We may move a Founders Circle partner to Standard on at least 30 days' written notice, and only after the promotional program ends or materially changes. A change applies to future orders only.
Card processing is deducted at 2.9% + $0.30, calculated on the Food Subtotal only. This is a third-party cost charged by Stripe, not a Pick and Chop fee. We do not charge you processing on the delivery fee, the customer service fee, sales tax, or the customer's tip — those are collected by Pick and Chop, so we bear their processing.
There are no other fees. No monthly subscription, no listing fee, no per-order platform charge beyond the commission and the processing above.
2. What the customer pays that is not yours
A customer's payment includes several amounts that never form part of your proceeds. We collect them as merchant of record and pay them onward:
- Customer service fee (5%) — charged to the customer and retained by Pick and Chop. It is not deducted from you.
- Delivery fee — collected by Pick and Chop and paid to the independent delivery provider that performs the delivery.
- Driver tip — 100% goes to the driver. No commission is taken from a tip by Pick and Chop or by the delivery provider.
- Sales tax — Pick and Chop is the marketplace facilitator and collects and remits sales tax on the taxable portion of each order. You do not remit sales tax on Pick and Chop orders.
3. What you receive, per order
Your payout for a single order is:
Food Subtotal − commission − card processing − holdback reserve
Worked example — a $50 food order on the Standard tier, delivered, with a $7.50 tip:

The delivery fee, the tip, the 5% customer service fee and the sales tax the customer paid are not in this calculation, because none of them is yours.
4. When you are paid
Payouts are made through Stripe to the bank account you connect during onboarding. You must complete Stripe identity and bank verification before any payout can be released — this is a Stripe requirement and we cannot waive it.
Once verified, Stripe pays out on its standard schedule for your account. Verification checks, suspected fraud, legal process, or a bank or payment-network delay can hold a payout, and those are outside our control.
5. The 5% holdback reserve
We hold back 5% of your share of each order to cover refunds, chargebacks and adjustments you are responsible for.
The reserve is not a fee. It is your money, held temporarily. Pick and Chop keeps none of it except where it is applied to an amount you actually owe under the Agreement.
Reserve amounts are released on a rolling basis 14 days after the order, net of any pending or actual deductions.
Held and released amounts will be shown in your Vendor Hub dashboard. Until that is available, email partners@pickandchop.com for a statement of what is currently held and when it releases.
6. Refunds and chargebacks
Pick and Chop decides customer refunds as merchant of record. Who bears the cost depends on the cause:
- We bear it when a refund is a goodwill or service decision unrelated to your restaurant, or when it arises from a payment-processing error or our own fault.
- You bear it when it arises from food quality, missing or inaccurate items, late preparation, cancelling an order you accepted, failing to fulfill, inaccurate availability, or non-compliant packaging.
When an amount is yours to bear, we recover it in this order:
- From your holdback reserve
- By offset against your current or future payouts
- If a balance remains, by invoice payable within 15 days
7. Promotions — who pays for what
A promotion funded by Pick and Chop costs you nothing. It does not reduce your payout, and it does not reduce the Food Subtotal your commission is calculated on. You are paid as though the customer paid full price.
Passport Rewards is a Pick and Chop program and is funded entirely by Pick and Chop. Customers earn a stamp on qualifying orders and a completed card is worth 20% off.
If we ever offer promotions that you fund in whole or in part, we will tell you the funding split before you take part, and you will choose whether to participate.
8. Your operating obligations
- Keep menu content, prices, hours, item availability and preparation times accurate.
- Accept, reject or update orders promptly, and prepare each order as selected.
- Meet all health, food safety, labeling, licensing and packaging requirements. Food safety and allergen accuracy remain yours.
- Package orders securely, using tamper-evident seals where required by law or policy.
Your responsibility for an order ends when it is correctly prepared, properly packaged and handed to the customer, the delivery provider's driver, or another authorized pickup representative.
9. Insurance you must carry
You must hold and maintain commercial general liability insurance, including products and completed operations coverage applicable to food-related claims, with limits of at least $1,000,000 per occurrence and $2,000,000 general aggregate.
Pick and Chop, Inc. must be named as an additional insured where commercially available, and you must provide a certificate of insurance at onboarding and on each renewal.
Tell us promptly if your coverage is cancelled, not renewed, or materially reduced. Listings can be suspended while insurance is expired or missing.
10. Suspension
We may suspend or remove a restaurant or a menu item without notice where we reasonably believe it is necessary — for a food-safety concern, a health-department action, expired or missing licensing or insurance, suspected fraud, a payment-processing restriction, repeated cancellations or fulfillment failures, a data-security concern, unlawful activity, or a material customer-safety concern. We will tell you when it is reasonably practicable and restore access once the concern is resolved.
11. Changes to these terms
We may update these operating terms prospectively, as permitted by the Agreement. We will not retroactively increase commission or introduce a new Pick and Chop fee without your written agreement. Third-party pass-through costs, such as card processing rates set by Stripe, can change with the provider.
